I only issue 1.5 page term sheets. It's required to be competitive. But I much prefer receiving 12+ page term sheets that exhaustively describe all terms. Gets all the fighting out of the way upfront, when the Company still has the leverage of (ideally) multiple offers.

The "traded" nomenclature is odd. Athletes sell their exclusive right to work for X years in exchange for guaranteed payments. Teams trade those rights. No tech employee does this. Closest proximate is large signing bonus with waning repayment. But it's still not exclusive.

The windsurf/Google thing is likely more elegant than other recent Founder >$1B acquihire deals. Structured as a non-exclusive license creates less burden/shadow over windsurf. It's smart. If Goog owned 49% of windsurf, they could never do major deals with any Goog competitor.

I'm a tourist to the AI world... but I think this is right? Or, at least, if you explicitly asked Claude about this, it would happen. Must have been a crazy design decision meeting choosing a human name (in contrast to chatgpt or gemini, after the lessons of alexa and siri).
